Item 1.01.       Entry into a Material Definitive Agreement

 

As of February 9, 2017, Rennova Health, Inc. (the “Company”) has received advances aggregating $3,000,000 from Christopher Diamantis, a director of the Company. The advances, along with $454,025 of previously accrued but unpaid interest, are due on demand and bear interest at 10% per annum. The Company has used the advances to pay the purchase price under the previously announced asset purchase agreement to acquire certain assets related to Scott Community Hospital based in Oneida, Tennesee, and for general corporate purposes. As security for such advances, the Company has agreed to give Mr. Diamantis a lien on the acquired assets as well as on all of the shares of capital stock of the subsidiary that purchased the assets. The Company has also agreed to issue Mr. Diamantis warrants to purchase shares of common stock on terms to be negotiated.
